These Terms of Service ("Terms") govern your use of store.octagonstudio.com (the "Site") and your purchase of products from Octagon Studio UK Ltd ("Octagon Studio", "we", "us", or "our"). By accessing the Site or placing an order, you agree to be bound by these Terms together with our Privacy Policy, Refund Policy, and Shipping Policy, which are incorporated by reference.

If you do not agree to these Terms, please do not use the Site or place an order.

We are not currently registered for VAT. Prices on the Site are inclusive of any applicable taxes.

2. Eligibility

To place an order on the Site you must be at least 18 years old and capable of forming legally binding contracts under the laws of England and Wales. While our products are designed for use by children, the contract of sale is formed between Octagon Studio and the adult purchaser.

3. Products

We sell augmented reality flashcard products and related educational materials under licence. Our products consist of physical flashcards and a unique activation code that unlocks digital content (3D models, animations, audio, AR scenes, and VR experiences) in our companion app.

Product descriptions, images, and specifications are provided in good faith but may differ slightly from the actual product due to manufacturing variation, photographic representation, or device-specific app rendering. We reserve the right to modify, discontinue, or limit availability of any product at any time without notice.

4. Augmented Reality and App Functionality

Our products require a compatible smartphone or tablet running our companion app. The app uses marker-based augmented reality technology, which means:

- The camera must remain pointed at the activation card for AR models to remain visible
- AR functionality requires adequate lighting and a flat, stable surface
- Performance varies by device, operating system version, and ambient conditions

These are inherent characteristics of the technology and do not constitute defects. The app also includes Photo Booth and VR modes which do not require continuous card visibility.

App functionality, compatibility, and content are provided "as is". We do not warrant that the app will be uninterrupted, error-free, or compatible with all devices. Device compatibility may change over time as operating systems update. We accept no liability for app functionality on devices that do not meet the minimum specifications listed on our Site or app store pages.

5. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, product images, and software, is owned by or licensed to Octagon Studio and is protected by copyright, trademark, and other intellectual property laws. The augmented reality content accessed via our products is licensed for personal, non-commercial use only.

When you purchase our products, you acquire ownership of the physical cards and a personal, non-exclusive, non-transferable licence to access the associated digital content via the app. You may not copy, distribute, modify, reverse-engineer, or create derivative works from any of our content. Commercial use, including use in classrooms, libraries, or paid educational settings, requires separate written permission.

Unauthorised use of our intellectual property may result in termination of your licence and legal action.

6. Orders and Contract Formation

Placing an order on the Site constitutes an offer to purchase. We reserve the right to accept or decline any order at our discretion, including for reasons of stock availability, pricing errors, suspected fraud, or breach of these Terms.

A binding contract is formed when we send you a dispatch confirmation email, not at the point of order placement. Until that point, no contract exists and we may cancel the order with a full refund.

7. Pricing and Payment

All prices are listed in GBP unless otherwise stated and include any applicable taxes. International customers may be charged additional currency conversion fees by their card issuer.

Payment is processed at the point of order via Shopify Payments and other authorised providers. We do not store full card details.

We reserve the right to correct pricing errors at any time. If a product is listed at an incorrect price due to a typographical or system error, we may cancel the order and issue a full refund, even after order confirmation.

8. Shipping and Delivery

Shipping options, rates, and delivery estimates are set out in our Shipping Policy. Delivery estimates are not guaranteed delivery dates. Risk of loss and title for products pass to you upon delivery to the carrier.

Customs duties, import taxes, and other charges imposed by the destination country are the responsibility of the recipient.

9. Returns and Refunds

Your rights to cancel, return, and refund are set out in our Refund Policy.

In summary: products with activated digital content are not eligible for refund under our cooling-off policy because activation constitutes the supply of digital content, which under Regulation 37 of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 ends the cancellation right. Unactivated products may be returned within 14 days. Your statutory rights in respect of faulty or misdescribed goods under the Consumer Rights Act 2015 are unaffected.

10. App and Data

Our companion app is provided by our licensor and may collect limited technical and crash data (such as device type, operating system, and app performance information) to improve app functionality and stability. The app does not collect personal information from users. The app is governed by its own terms and privacy notice as published on the relevant app store.

We are not responsible for app store policies, app updates, or changes to app functionality made by the app's developer or by app store operators.

11. Acceptable Use

You agree to use the Site and our products only for lawful purposes. You must not:

- Use the Site to commit fraud, distribute malware, or breach any law
- Attempt to gain unauthorised access to the Site, our systems, or other users' accounts
- Use automated tools (bots, scrapers, crawlers) to access the Site, except for legitimate search engine indexing
- Resell our products commercially without written authorisation
- Use our products or app content in any way that infringes our intellectual property rights or those of our licensors

We may suspend or terminate your access to the Site, cancel orders, or take legal action if we reasonably believe you have breached these Terms.

12. Limitation of Liability

Nothing in these Terms excludes or limits our liability for:

- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Breach of your statutory rights as a consumer under the Consumer Rights Act 2015
- Any other liability that cannot be excluded or limited under English law

Subject to the above, our total liability to you in connection with any product or order, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the price paid for the relevant product.

We shall not be liable for any indirect, consequential, or special losses, including but not limited to loss of profit, loss of data, loss of opportunity, damage to devices, or distress arising from app functionality, AR performance, or product use, except where such loss results from our breach of statutory duty.

We make no warranty that the Site or app will be available continuously, free from errors, or compatible with all devices.

13. Indemnity

You agree to indemnify and hold harmless Octagon Studio UK Ltd, its directors, employees, and licensors from any claims, damages, losses, or costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of our products or content, or your infringement of any third-party rights.

14. Force Majeure

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, war, civil unrest, pandemic, government action, postal or carrier disruption, supplier failure, or technical infrastructure failures.

15. Privacy and Data Protection

Our collection and use of your personal information is governed by our Privacy Policy, which forms part of these Terms.

16. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent version. Material changes will be communicated via the Site. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms. The version of these Terms in force at the time of your order will apply to that order.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be severed and the remaining provisions will continue in full force.

18. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Shipping Policy, constitute the entire agreement between you and Octagon Studio UK Ltd regarding your use of the Site and purchase of our products. They supersede any prior agreements, communications, or understandings.

19. Governing Law and Jurisdiction

These Terms and any disputes arising from them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that consumers resident in Scotland or Northern Ireland may bring proceedings in their local courts as permitted by law.
